The User Agreement below is for all users effective June 4, 2012.

THE FOLLOWING DESCRIBES THE TERMS ON WHICH HEAR IT LOCAL OFFERS YOU ACCESS TO OUR SERVICES.

Welcome to the User Agreement for Hear It Local, Inc. This Agreement describes the terms and conditions applicable to your use of our services available under the domain and sub-domains of www.HearItLocal.com. Do not use or access our services if you do not agree to be bound by the terms and conditions of this Agreement.
You must read, agree with and accept all of the terms and conditions contained in this User Agreement and the Privacy Policy, which include those terms and conditions expressly set out below and those incorporated by reference, before you may become a member of Hear It Local. We strongly recommend that, after you read this User Agreement, you also access and read other pertinent pages of the Hear It Local web site, as they may contain further terms and conditions that apply to you as a Hear It Local user.
We may amend this Agreement at any time by posting the amended terms on our site. Except as stated below, all amended terms shall automatically be effective 30 days after they are initially posted on our site.

1.0 Hear It Local is a Venue.
Hear It Local.com helps talent buyers, agents and consumers find the right entertainment for their music venue, corporate event or private affair. It is a website used by consumers to search and hire entertainment services such as live bands, DJs, and musical artists. It is also a site where consumers find live shows to attend. Artists and customers purchasing entertainment share the responsibility for making sure events facilitated by Hear It Local are exciting, rewarding, and hassle-free. Hear It Local is a site that acts as a venue that allows anyone to buy and sell live entertainment services. In an effort to make the buying experience positive, Hear It Local provides direct services which help artists and customers book their transaction. However, as is the case with sites of this kind, we have limited control over the quality, safety or legality of the services advertised. In the unlikely event there is a dispute, we require Hear It Local artists to comply with our resolution process. Artists and customers permit us to make a final decision, in our sole discretion, on any claim that a buyer files with Hear It Local under the Hear It Local Event Entertainment Protection Policy.
We strongly encourage customers to work with artists before opening a claim relating to the booking of entertainment. Customers and artists agree to follow the requirements of the Hear It Local Entertainment Event Protection Policy outlined in section 21.0 with respect to claims. Hear It Local protection covers only claims filed in accordance with the Hear It Local Entertainment Event Policy. We may suspend the Hear It Local Event Entertainment Protection Policy without notice if we suspect abuse or interference with the proper working of the program.
Correcting Mistakes in Payments to Artists and Customers. We reserve the right to fix any processing errors we discover. We will correct any processing errors by debiting or crediting the payment method used for the erroneous Hear It Local refund or reimbursement.

1.1 Information Control.
In accessing or using the Site, you understand and acknowledge that you will be exposed to content and materials submitted to the Site by a variety of Hear It Local account holders (“Member Submissions”), and you understand and agree that Hear It Local is not responsible for the accuracy, usefulness, or intellectual property rights of or relating to such Member Submissions. You further understand and acknowledge that you may be exposed to Member Submissions that are inaccurate, offensive, indecent, deceptive, or otherwise objectionable, and you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Hear It Local with respect thereto, and agree to indemnify and hold harmless Hear It Local, its owners, operators, affiliates, and/or licensors, to the fullest extent allowed by law regarding all matters related to your use of the Site.
We do not control the information provided by other Members and users that is made available through our system. Please use caution, common sense, and practice safe buying, selling, booking, and communications when using the Site. Please note that there are also risks of dealing with underage persons or people acting under false pretense. Additionally, there may also be risks dealing with international trade and foreign nationals. By using this Site, you agree to accept such risks and Hear It Local is not responsible for the acts or omissions of users on the Site.

1.2 Fraud.
Without limiting any other remedies, Hear It Local may, but is not obligated to, suspend or terminate your account and/or Membership if we suspect that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity, misrepresentation, or falsehoods in connection with the Site.

2.0 Use of the Site
You understand that the Site and Hear It Local’s services are intended for your personal use only. You agree not to harvest or collect email addresses or other contact information of other Site users by electronic or other means for the purposes of sending unsolicited emails or other unsolicited communications. In addition, you agree not to use automated scripts to collect information from the Site. You agree that you will not use the Site in any unlawful manner or in any other manner that could damage, disable, overburden or impair the Site.

2.1 General Rules of Conduct
You are solely responsible for the content or information you publish, display or otherwise communicate in any manner (hereinafter, "post") on the web site, or transmit to other Members or event hosts.
You will not post on the web site, or transmit to other Members or event hosts, or otherwise communicate any defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, threatening, harassing, racially offensive, or illegal material, or any material that infringes or violates another party's rights (including, but not limited to, intellectual property rights, and rights of privacy and publicity). Furthermore you will not take actions to promote the physical harm or harassment of another person, engage in or promote spamming, provide information that you know is illegal, false or misleading, or designed to exploit those under 18 or otherwise provide instructional information about illegal activities such as making or buying illegal weapons, violating someone else's right to privacy or providing or creating computer viruses.

You will use the web site in a manner consistent with any and all applicable local, state, national and international laws and regulations, including, but not limited to, United States export control laws. You are not located in, under the control of, or a national or resident of any country which the United States has (i) embargoed goods, (ii) identified as a "Specially Designated National", or (iii) placed on the Commerce Department's Table of Deny Orders. Membership in, and use of, the web site is void where prohibited.
You will not provide inaccurate, misleading or false information to Hear It Local or to any other Member. If information provided to Hear It Local, or another Member or event host, subsequently becomes inaccurate, misleading or false, you will promptly notify Hear It Local of such change.

You will not impersonate any person or entity, or falsely state or otherwise misrepresent yourself or your affiliation with any person or entity.

You will not engage in advertising to, or solicitation of, other Members or event hosts to buy or sell any products or services other than live entertainment services through the web site. You will not transmit any chain letters or junk E-mail to other Members or event hosts.

You will not post, copy, modify, transmit, show in public or private, create any derivative works from, distribute or reproduce in any way any copyrighted material, trademarks, or other proprietary information without obtaining the prior consent of the owner of such proprietary rights.

You will not, post, email, transmit or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment.

You will promptly report to Hear It Local any violation of the terms of this Agreement by other Members or event hosts.

Hear It Local reserves the right, but has no obligation, to monitor the materials posted in the public areas of the web site. Hear It Local shall have the right, but not the obligation, to remove any such material that in its sole opinion violates, or is alleged to violate, any applicable law or either the letter or spirit of this Agreement. Notwithstanding this right of Hear It Local, YOU REMAIN SOLELY RESPONSIBLE FOR THE CONTENT OF THE MATERIALS YOU POST IN THE PUBLIC AREAS OF THE WEB SITE AND IN YOUR PRIVATE E-MAIL MESSAGES. E-mails sent between you and other Members or event hosts that are not readily accessible to the general public will be treated as private by Hear It Local to the extent permitted by applicable law.

3.0 User Accounts
In order to access some features of the Site, you will be required to create a Hear It Local account. You are responsible for maintaining the confidentiality of your account password. You are also solely responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account. Hear It Local reserves the right to close your account at any time for any or no reason. Although Hear It Local will not be liable for your losses caused by any unauthorized use of your account, you acknowledge and agree that you may be liable for the losses of Hear It Local or others due to such unauthorized use.

Hear It Local may terminate or suspend your account or ability to use the Site, in whole or in part, at its sole discretion, for any or no reason, and without notice or liability of any kind. For example, we may terminate or suspend your account or ability to use the Site if you misuse the Site. Any such termination or suspension could prevent you from accessing your account, the Site, your Content, or any other related information. You may terminate the Terms of Use at any time by closing your account, discontinuing your use of any and all parts of the Site, and providing Hear It Local with a notice of termination as provided on the Site; provided, however, that information you have posted on the Site may remain. In the event of any termination, whether by you or us, the following sections of this Agreement will survive any such termination and you and we will continue to be bound by such terms indefinitely: Content Posted By You, Ownership, Trademarks, Indemnification, Disclaimer of Warranties, Limitation of Liability, Applicable Law, Disputes and Termination.

4.0 Content Posted By You
By publishing, displaying or uploading any text, links, photos, audio, video, messages or other data or information (collectively, "Content") to the Site, you represent and warrant that: (i) you have full right and power to enter into and perform under these Terms of Use, and have secured all third-party consents, licenses and permissions necessary to enter into and perform under these Terms of Use; (ii) you own or have the necessary licenses, rights, consents, and permissions to use and authorize Hear It Local to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all of your Content to enable inclusion and use of the such Content in the manner contemplated by the Site and these Terms of Use; (iii) none of your Content is copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights; (iv) your Content is not and will not be defamatory, trade libelous, pornographic or obscene; and (v) you are at least 18 years of age.

By submitting Content to the Site (other than music files), you herby grant to Hear It Local an irrevocable, perpetual, nonexclusive, fully-paid and worldwide license to use, copy, perform, display and distribute such Content and to prepare derivative works of, or incorporate into other works, such Content and to grant and authorize sublicenses of the foregoing. You also irrevocably grant the Site's users the right to access your Content in connection with their use of the Site. In addition, you irrevocably waive, and cause to be waived, any claims and assertions of moral rights or attribution with respect to your Content.

By submitting Content to the Site, you also acknowledge and agree that you alone are responsible for your Content. You assume all risks associated with your Content, including anyone's reliance on its accuracy, completeness or usefulness, or any disclosure by you of information in your Content that makes you personally identifiable.

You also understand and acknowledge that you may expose yourself to liability if, for example, your Content violates any third-party right, including any trademark, patent, copyright, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right of any third party; contains material that is false, intentionally misleading, or defamatory; contains material that is unlawful; or violates any law or regulation.

Hear It Local reserves the right to remove any Content and Member Submissions at its sole discretion, at any time, for any reason or no reason, without notice or liability.

5.0 Ownership
Other than as set forth elsewhere in these Terms of Use, Hear It Local owns and retains all proprietary rights in the Site, including without limitation all visual interfaces, interactive features, graphics, design, compilation, computer code, products, software and all other elements and components of the Site. The Site contains certain copyrighted material, including links and compilations of individual data, trademarks and service marks and other proprietary information of Hear It Local, its account holders and licensors. Except for any information which is in the public domain, you may not use, copy, modify, publish, transmit, distribute, perform, display or sell any such proprietary materials or information without the express written consent in each case of Hear It Local. Access to the Site does not confer and shall not be considered as conferring upon anyone any license under any of Hear It Local’s or any third party's intellectual property rights.

6.0 Trademarks
Hear It Local and hearitlocal.com are trademarks of Hear It Local. Hear It Local’s trademarks may not be used in connection with any product or service that is not Hear It Local’s, in any manner that is likely to cause confusion among customers or in any manner that disparages or discredits Hear It Local. All other trademarks not owned by Hear It Local that appear on the Site are the property of their respective owners. No trademark license is granted in connection with the materials contained on the Site. Subject to the first sentence under the heading “License and Site Access,” access to the Site does not authorize anyone to use any name, logo or mark in any manner.

7.0 License and Site Access
Hear It Local grants you a limited license to access and make personal use of the Site and not to download or modify it, or any portion of it, except with express written consent of Hear It Local. This license does not include any resale or commercial use of the Site or its contents; any derivative use of the Site or its contents; or any use of data mining, robots, or similar data gathering and extraction tools. Neither the Site nor any portion of it may be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without express written consent of Hear It Local. Any unauthorized use terminates the license granted by Hear It Local.

8.0 Copyright Policy
Hear It Local operates a clear copyright policy with regard to any Member Submission that is alleged to infringe the copyright of a third party.

9.0 Third Party Sites
This Site contains links to other Internet websites that third parties own or operate. Your use of each of those sites is subject to the terms and conditions, if any, that each of those sites have posted. Hear It Local have no control over third party sites and is not responsible for any changes to or content on them. Hear It Local’s inclusion of any material in its search database or a link on the Site is not an endorsement of that material or link or the companies that own or operate the material or linked sites.
Reference on the Site to any names, marks, products or services of third parties or hypertext links to third party sites or information are provided solely as a convenience to you and do not in any way constitute or imply Hear It Local’s endorsement, sponsorship or recommendation of the third party, information, product or service. Hear It Local is not responsible for the content of any third party sites and we make no representations regarding the content or accuracy of material on such sites. If you decide to link to any such third party web sites, or purchase any third party products, you do so entirely at your own risk.

10.0 Feedback Integrity.
You may not take any actions that may undermine the integrity of the Hear It Local feedback system. We may, but shall not be obligated to, limit the number of event host feedback reviews you ("artist") may place on the Site based upon the level of your feedback.

If you ("artist") engage in the practice of libel, slander, foul language, threats and/or threatening language, Hear It Local has the right to remove or edit your feedback. Hear It Local also has the right not to edit or remove your feedback. Likewise, Hear It Local event hosts are not permitted to engage in the practice of libel, slander, foul language, threats and/or threatening language. Hear It Local has the right to remove or edit event host feedback. Hear It Local also has the right not to edit or remove event host feedback.

All feedback will be published live on the Hear It Local Site at the discretion of Hear It Local. Feedback is not to be used by artists in order to threaten, harass, blackmail, or extort money, goods/services from event hosts. If Hear It Local concludes that feedback has been used by a artist to threaten, harass, blackmail, or extort money, goods/services from event hosts, Hear It Local shall have the right, but not the obligation, to temporarily suspend or permanently remove said artist and said artist's Hear It Local Membership from the Hear It Local website.

Feedback is not to be used by event hosts in order to threaten, harass, blackmail, or extort money, goods/services from artists. If Hear It Local concludes that feedback has been used by a event host to threaten, harass, blackmail, or extort money, goods/services from artists, Hear It Local shall have the right, but not the obligation, to temporarily suspend or permanently prevent said event host from utilizing the Hear It Local website to contact Hear It Local artists and book live entertainment through the Hear It Local website.

11.0 Limitation of Liability
UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL OR EQUITABLE THEORY, WHETHER IN TORT, CONTRACT, STRICT LIABILITY OR OTHERWISE, SHALL HEAR IT LOCAL OR ANY OF ITS AFFILIATES, EMPLOYEES, DIRECTORS, OFFICERS, AGENTS, VENDORS OR SUPPLIERS BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL LOSSES OR DAMAGES OF ANY NATURE ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SITE, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, LOSS OF DATA, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, EVEN IF AN AUTHORIZED REPRESENTATIVE OF HEAR IT LOCAL HAS BEEN ADVISED OF OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL HEAR IT LOCAL BE LIABLE FOR ANY DAMAGES IN EXCESS OF THE FEES PAID BY YOU IN CONNECTION WITH YOUR USE OF THE SITE DURING THE SIX MONTH PERIOD PRECEDING THE DATE ON WHICH THE CLAIM AROSE. THIS LIMITATION OF LIABILTY IS A MATERIAL TERM FOR ALLOWING YOUR USE OF AND ACCESS TO THE SITE.

12.0 Applicable Law
By visiting the Site, you agree that the laws of the state of California, without regard to principles of conflict of laws, will govern these Terms of Use and any dispute of any sort that might arise between you and Hear It Local. You agree that: (i) the Site shall be deemed solely based in California; and (ii) the Site shall be deemed a passive website that does not give rise to personal jurisdiction over Hear It Local, either specific or general, in jurisdictions other than California.

13.0 Release.
Because we are a venue, in the event that you have a dispute with one or more Hear It Local Members or users, you release Hear It Local (and our officers, directors, agents, subsidiaries, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes. If you are a California resident, you waive California Civil Code §1542, which says: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."

Except as expressly provided in this Agreement, to the maximum extent permitted under applicable law, any sample documents provided or generated by Hear It Local (which we call “Sample Documents” in this Agreement) are provided "as is" without any kind of warranty. You accept full responsibility for determining whether any Sample Document is suitable for any particular purpose and for protecting yourself against any possible consequential damages.

14.0 Disclaimer of Warranties
THIS SITE IS PROVIDED BY ON AN "AS IS" AND "AS AVAILABLE" BASIS. HEAR IT LOCAL MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THE SITE OR THE INFORMATION, CONTENT, MATERIALS, PRODUCTS OR SERVICES INCLUDED ON THE SITE. TO THE FULL EXTENT PERMISSIBLE BY APPLICABLE LAW, HEAR IT LOCAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WITHOUT LIMITING THE FOREGOING, HEAR IT LOCAL DISCLAIMS ANY AND ALL WARRANTIES, EXPRESS OR IMPLIED, FOR ANY PRODUCTS OR SEVICES OFFERED ON THIS SITE. YOU ACKNOWLEDGE, BY YOUR USE OF THE SITE, THAT YOUR USE OF THE SITE IS AT YOUR SOLE RISK. THIS DISCLAIMER CONSTITUTES AN ESSENTIAL PART OF THIS AGREEMENT. CERTAIN STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE FOREGOING LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

15.0 Indemnity.
You agree to indemnify and hold us and (as applicable) our parent, subsidiaries, affiliates, officers, directors, agents, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your breach of this Agreement or the documents it incorporates by reference, or your violation of any law or the rights of a third party.

16.0 Legal Compliance.
You shall comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding your use of our service and your bidding on, listing, purchase, solicitation of offers to purchase, and sale of live entertainment services and other related items.

17.0 No Agency.
You and Hear It Local are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this Agreement.

18.0 Notices.
Except as explicitly stated otherwise, any notices shall be given by postal mail to Hear It Local, Inc. Attn: Legal Department, 870 Market Street, San Francisco, CA 94102 (in the case of Hear It Local) or to the e-mail address you provide to Hear It Local during the registration process (in your case). Notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, we may give you notice by certified mail, postage prepaid and return receipt requested, to the address provided to Hear It Local during the registration process. In such case, notice shall be deemed given 3 days after the date of mailing.

19.0 Disputes
Any dispute relating in any way to your visit to the Site or to products or services you purchase through the Site shall be submitted to confidential arbitration in San Francisco, California, except that, to the extent you have in any manner violated or threatened to violate Hear It Local’s intellectual property rights, we may seek injunctive or other appropriate relief in any state or federal court in the state of California, and you consent to exclusive jurisdiction and venue in such courts. Arbitration under these Terms of Use shall be conducted under the rules then prevailing of the American Arbitration Association. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these Terms of Use shall be joined to an arbitration involving any other party subject to these Terms of Use, whether through class arbitration proceedings or otherwise.

20.0 Membership.
Hear It Local has the explicit right, but not the obligation, to suspend and/or remove any Hear It Local Member from the Hear It Local Web Site at any time at its sole discretion. Without limiting the previous sentence, Hear It Local has the explicit right, but not the obligation, to suspend and/or remove any Hear It Local member from the Hear It Local website at any time for any breach or suspected breach of the terms of this Agreement.

20.1 Not Responding To Event host Leads.
Hear It Local has the explicit right to temporarily suspend or permanently de-activate the Membership of any Hear It Local Member who fails to reply to five or more consecutive gig-alert emails.

20.2 Falsifying Bookings.
Hear It Local has the explicit right to temporarily suspend or permanently de-activate the Membership of any Hear It Local Member who falsifies bookings and/or event host information. Falsifying bookings with an attempt to deceive Hear It Local event host by artificially inflating ratings and booking totals is not permitted.

20.3 No-Shows, Cancellations, & Event host Deposit Returns.
Hear It Local has the explicit right to temporarily suspend or permanently de-activate the Membership of any Hear It Local Member who has been a "no-show" for more than one Hear It Local booking.

20.4 Posting of Contact Information.
Hear It Local has the explicit right to temporarily suspend or permanently de-activate the Membership of any Hear It Local Member who posts contact information on said Member's Hear It Local Profile Page. This contact information includes email links and addresses and telephone numbers. Contact information may not be posted in Profile Page photos, Profile Page text, and Profile Page audio/video samples. Capital letters may not be used when not appropriate in Profile Page group names and Profile Page descriptions.

20.5 Derogatory Comments & Slander.
Derogatory and/or slanderous comments made by Hear It Local Members about other Hear It Local Members and/or other non-Hear It Local Members are not permitted. Derogatory and/or slanderous comments made by Hear It Local Members about other implied Hear It Local Members and/or other implied non-Hear It Local Members are not permitted.

20.6 Booking Transaction Interference.
Hear It Local Artists may not contact a Hear It Local event host with an offer or suggestion to book a Hear It Local Gig outside of Hear It Local. Hear It Local Artists are not permitted to interfere with another Hear It Local Artist's booking. Hear It Local Artists are not permitted to email or telephone Hear It Local event hosts in an open or completed booking to warn them away from hiring a Hear It Local artist. Discouraging event hosts from hiring other Hear It Local Artist Members is not permitted. Discouraging and/or preventing event hosts from booking you through Hear It Local is not permitted.

20.7 Farming of Event host Leads.
The act of 'farming' out event host leads is not permitted. Hear It Local defines 'farming' out of event host leads as "to give up (as an estate or a business) to another on condition of receiving in return a fixed sum", meaning - Hear It Local's Artists are strictly prohibited from taking event host leads provided to them and transferring these event host leads to non-Hear It Local Artists and entities. An event host lead is only to be utilized by the Hear It Local Artist who received said event host lead from Hear It Local. If Hear It Local, Inc. discovers that a particular Hear It Local Artist is farming out event host leads, Hear It Local reserves the right to temporarily suspend or permanently remove said Hear It Local Member from the Hear It Local website and to terminate said Hear It Local Artist's Membership.

20.8 Member Profile Page Photos, Audio, & Video.
Hear It Local is committed to providing our Members and Users with a secure, comfortable environment. Nude, obscene, sexual behavior, sexual or otherwise offensive photos, audio samples, or video samples are subject to potential removal. If the subject in your photo would be considered unacceptable on a family friendly public beach or not permitted to be shown on regular television, your photo will not be permitted on Hear It Local. 20.9 Memberships Which Dissolve Due to Breakups or Other Extenuating Circumstances.
If a Hear It Local Member artist ("artist" can be either a solo act (with an agent listed as the contact person on the solo act's account), duo, trio, quartet, quintet, ensemble or full band) breaks up, Hear It Local reserves the right to keep active, transfer, or terminate said Membership at the discretion of what Hear It Local deems ("reasonable man") appropriate, unless outside legal counsel or court of law dictates to the contrary. Hear It Local also reserves the right to keep active, transfer, or terminate previous event host feedback attached to any Hear It Local Member artist Profile Page at the discretion of what Hear It Local deems ("reasonable man") appropriate, unless outside legal counsel or court of law dictates to the contrary. General rules of thumb:

In the event of a duo breakup, both artists of the duo will typically need to re-register for brand new Hear It Local Memberships in order to remain with Hear It Local.

In the event of a breakup involving larger groups (trio, quartet, quintet, ensemble or full band), majorities rule. For example, if a five person band breaks up, and four of the five members remain together, Hear It Local will typically give these four members the right to hold onto the original Hear It Local Membership and/or previous event host feedback.

21.0 Event Entertainment Protection Policy.

21.1 Cancellation Policies For Hosts Who Pay Directly.

-Artist cancels more than 7 days prior to the event. No fee will be charged.

-Artist cancels within 7 days of the event. No fee will be charged. Hear It Local reserves the right to issue the artist Strike 1, and the artist faces possible suspension or termination of Membership. Host may post feedback.

-Host cancels more than 7 days prior to the event. No fee will be charged. Host cannot post feedback.

-Host cancels within 7 days of the event. A partial refund will be provided. An artist reimbursement fee will be allocated to the artist, which represents 10% of the booking fee. Additionally, the host forfeits a 10% transaction fee, which goes to cover Hear It Local’s processing fees. The remaining 80% of the booking fee is refunded to the host.

-Bookings which take place within 7 days of the event date and artist cancels within 24 hours. No charge.

-Bookings which take place within 7 days of the event date and artist cancels after 24 hours have passed. Hear It Local reserves the right to issue the artist Strike 1, and the artist faces possible suspension or termination of Membership. Host may post feedback.

22.0 Two Strike Rule.
If Hear It Local has warned any Hear It Local Member one-time about any Membership violations in this User Agreement, and said Member has corrected and resolved the violation, and then said Member violates anything contained within the Hear It Local User Agreement a second time, Hear It Local will issue said Member Strike One. If said Member violates anything contained within the Hear It Local User Agreement a third time, Hear It Local will issue said Member Strike Two and shall permanently ban said Member from Hear It Local Membership effective immediately. Hear It Local also has the explicit right to remove any Hear It Local Member at any time as circumstances warrant.

23.0 Booking Fees and Payment.
There is no charge to utilize the Hear It Local Web Site to search and contact Hear It Local Artists. If you end up hiring Hear It Local entertainment for your event, there are two methods for paying which involve different service and transaction fees:

23.1 Host Pays directly.
Host fees. When the host elects to “pay direct,” the host is charged the entire booking fee one week prior to the event. The booking fee is finalized when the artist “accepts” the host’s booking offer and the host “confirms” the event through the site.

Artist Fees. When an artist accepts a booking offer through the site and the event takes place, Hear It Local shall be entitled to a 7.5% share of the booking fee revenue.

23.2 Host Crowd-funds.
Host and Guest Fees. When host crowd-funds the event, the host is not required to pay any fees, although host can elect to help fund the event. The host invites guests to help fund the event through Hear It Local’s platform. Guests who accept the invitation pay a minimum donation determined by the host. Guests also pay a service fee of $0.50 per attendee. Guests are not charged unless the event gets fully funded.

Artist Fees. If the artist accepts a booking offer through the site and the event takes place, Hear It Local shall be entitled to a 7.5% share of the booking fee revenue.

24.0 Online Deposit Guarantee.
In order to be eligible to receive a full refund, ALL of the following criteria must be met:
1. You must have booked your event entertainment through Hear It Local.com.
2. You must have paid your deposit through Hear It Local.com.
3. The artist you booked through Hear It Local must have been a no-show at your event.
4. You must notify Hear It Local about this within 7 days of your event date.

Once Hear It Local has received confirmation of the no-show from both the event host and the artist, a refund will be issued immediately, and Hear It Local reserves the right to suspend the artist from the Hear It Local website.
